Terms of Service

1. About these terms

These terms form a binding agreement between you and Virtually Branded Ltd, trading as BrokerLync ("we", "us", "our"), covering your use of the BrokerLync platform, website and related services (the "Service"). By creating an account or using the Service you agree to these terms.

BrokerLync is a trading style of Virtually Branded Ltd, a company registered in England and Wales under company number 13132922, with its registered office at 31 Sunflower Lane, Stainton, Middlesbrough, TS8 9FS.

2. The Service

BrokerLync provides online fact-find and client data collection tools for UK mortgage and protection brokers. We may update, improve or change features of the Service from time to time. We aim to give reasonable notice of material changes that affect how you use the Service.

3. Accounts

You must provide accurate account details and keep your credentials secure. You are responsible for all activity that takes place under your account and for making sure every adviser or team member you invite uses the Service in line with these terms.

4. Acceptable use

You agree not to:

• Use the Service for anything unlawful or that infringes the rights of others.
• Attempt to gain unauthorised access to the Service, other accounts or our infrastructure.
• Interfere with, disrupt or reverse-engineer any part of the Service.
• Use the Service to send spam or unsolicited marketing to your clients.
• Upload content that is harmful, misleading or breaches applicable regulations.

5. Fees and billing

Subscription fees are set out on our pricing page and are billed in advance on a recurring basis. Fees exclude VAT unless stated otherwise. You can cancel your subscription at any time; cancellations take effect at the end of the current billing period and paid fees are non-refundable except where required by law.

6. Your data and clients

You retain ownership of the data you and your clients submit through the Service. You grant us a limited licence to host, process and display that data as necessary to provide the Service. Our processing of personal data is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement.

7. Availability

We work hard to keep the Service available, but we do not guarantee uninterrupted access. Planned maintenance, third-party outages and events outside our reasonable control may occasionally affect availability.

8. Liability

Nothing in these terms limits or excludes any liability that cannot be limited or excluded by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability arising out of or in connection with the Service is limited to the fees paid by you in the twelve months immediately before the event giving rise to the claim. We are not liable for indirect or consequential losses, loss of profits, revenue, goodwill or data.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these terms, if we are required to do so by law, or if continuing to provide the Service becomes commercially or technically impractical. We will give reasonable notice where we can.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
